How much does it cost to register a Sdn Bhd in Malaysia?

SSM charges RM50 for name reservation and RM1,010 for incorporation. Professional fees for secretarial work and registered office are extra. We give a fixed quote before we start.

How long does company registration take?

Once SSM receives a complete application, approval usually takes 1 to 3 working days. Name reservation adds 1 to 2 working days before that.

What is included in your company registration package?

Name search and reservation, SSM incorporation, company secretary appointment, registered office, first board resolutions, and support with your bank account, tax registration and business licence.

Can a foreigner register a company in Malaysia?

Yes. Foreigners can own up to 100% of the shares in most Sdn Bhd companies, but at least one director must ordinarily reside in Malaysia. Some sectors have ownership limits.

What is the minimum share capital for a Sdn Bhd?

The legal minimum is RM1. In practice, many companies start with more, and you need higher paid-up capital to hire expatriates or qualify for some licences.

Do I need a company secretary?

Yes. Every Sdn Bhd must appoint a licensed company secretary within 30 days of incorporation. MJCO is a MAICSA-registered secretarial firm.

Should I choose a Sdn Bhd or a sole proprietorship?

A sole proprietorship is cheaper and simpler, but your personal assets are at risk. A Sdn Bhd protects you with limited liability and makes it easier to raise funds, win contracts and hire foreign staff.

Can I convert my sole proprietorship to a Sdn Bhd?

Yes. We incorporate a new Sdn Bhd and help you move the business, contracts and assets across, then close the old registration.

Does a new company need to be audited?

Sdn Bhd companies generally need their accounts audited each year, unless they qualify for an audit exemption under SSM rules. As an approved audit firm, we can advise on this.

Do I need a business licence after registering with SSM?

Yes, if you operate from a premise. SSM registration creates the company; your local council issues the licence to operate from a specific address.
